These Terms of Use establish the conditions applicable to access to and use of Tectril’s institutional website, its subdomains, pages, forms, content, materials and public features.

By accessing, browsing or using these environments, the user acknowledges having read and understood the conditions presented on this page. Specific services, platforms, proposals and contracts may be subject to their own rules, which shall prevail when applicable.

Language governance: the English and Spanish versions are convenience translations. In the event of doubt, inconsistency or conflict of interpretation, the Portuguese version shall prevail, without prejudice to applicable mandatory rules.

1. Acceptance and purpose

These Terms of Use govern access to and use of Tectril’s institutional website, its subdomains, pages, forms, content, materials and public features that refer to this document (collectively, the “Site”).

By accessing, browsing or using the Site, the user acknowledges having read and understood these Terms. If the user does not agree, use of the Site must be discontinued. The use of certain services, authenticated environments, platforms, proposals or contracts may be subject to specific conditions, which shall prevail over these Terms to the extent applicable.

2. Identification of Tectril

The Site is maintained by TECTRIL SOLUÇÕES EM LOGÍSTICA E COMÉRCIO LTDA., doing business as TECTRIL SUPPLY CHAIN SOLUTIONS (“Tectril”), registered with the Brazilian National Registry of Legal Entities (CNPJ) under No. 62.231.874/0001-07 and State Registration No. 239.232.075.119, with registered office at Rua José Maria Pires, No. 78, Jardim Marcelino, Serpa, Caieiras, State of São Paulo, ZIP Code 07714-060, Brazil.

3. Institutional scope and no automatic contracting

The Site presents institutional information, methodologies, solutions, services, technical content and contact channels related to foreign trade, supply chain, logistics, transportation, compliance, customs and tax governance, documentation, operational intelligence, implementation and infrastructure.

The display of any service, capability, deadline, indicator, methodology, trademark or content does not constitute a binding offer, guarantee of availability, commercial proposal, promise of results or automatic contracting. Any engagement shall only occur under a separate instrument, following an assessment of scope, feasibility, risks, responsibilities, regulatory requirements and commercial conditions, and acceptance by the parties.

4. Eligibility and use by representatives

The user represents that they have the legal capacity to use the Site. Anyone using it on behalf of a legal entity represents that they are authorized to represent such entity and provide information on its behalf. The Site is not intentionally directed at children or adolescents, and Tectril does not knowingly request personal data from minors through its institutional forms.

5. Permitted use and user responsibilities

The user must use the Site lawfully, ethically, securely and consistently with its purpose, provide truthful, current and relevant information, respect third-party rights and take appropriate security precautions on their devices and connections.

It is prohibited to: violate laws or rights; submit unlawful, fraudulent, offensive, discriminatory, defamatory or malicious content; attempt to gain unauthorized access; interfere with operation or security; introduce malware; circumvent controls; conduct scanning, vulnerability testing or reverse engineering without written authorization; collect data through abusive automated means; use content for unfair competition; or use the Site to send spam or commit fraud.

6. Forms, communications and attachments

When submitting a form, message or file, the user represents that the information is legitimate and necessary and that they are authorized to share it. The user must not transmit trade secrets, excessive personal data, sensitive personal data, credentials, information subject to third-party confidentiality or malicious files, except when requested through an appropriate and protected channel.

Sending a message does not create a contractual relationship, a duty to accept a request, an agency relationship, an obligation to respond within a specific period or a confidentiality relationship, unless an applicable written agreement provides otherwise. Tectril may implement security filters, limit attachments and reject content that is incompatible with the purpose of the channel.

7. Integrity Channel

When made available in its dedicated environment, the Integrity Channel shall be governed by a specific notice, rules of use and privacy policy. Reports must not be submitted through general commercial forms. Tectril does not tolerate retaliation against good-faith reporting and may preserve confidentiality and anonymity within applicable technical and legal limits.

8. Technical content and no professional advice

The Site’s content is general, institutional and informational in nature. It does not constitute legal, tax, customs, accounting, regulatory, financial, security or investment advice, nor does it replace an analysis of current legislation, relevant documents and the specific circumstances of each transaction.

Foreign trade rules, taxes, licenses, government systems, deadlines, classifications and procedures may change. The user should not make material decisions exclusively on the basis of the Site. Tectril shall only assume technical obligations and specific responsibilities under a formally accepted contract or proposal.

9. Intellectual property

The Site and its elements, including text, structure, visual identity, trademarks, logos, trade names, photographs, illustrations, code, documents, methodologies, frameworks, diagrams and solution names, belong to Tectril or are used under license and are protected by applicable law.

Excerpts may be viewed and printed for internal, informational and non-commercial use, provided that credits and notices are preserved. Substantial copying, modification, publication, distribution, licensing, sale, commercial exploitation, creation of derivative works or use of trademarks and proprietary assets, including names accompanied by ™, is prohibited without prior written authorization. No license is granted by silence, access or availability of content.

10. User-submitted content

The user retains the rights to the content they submit. To the extent necessary to receive, store, analyze, respond to, protect and follow up on the request, the user grants Tectril a non-exclusive, royalty-free authorization limited to those purposes. The user is responsible for the legality, accuracy and ownership of the submitted material.

11. Links, integrations and third-party services

The Site may contain third-party links, maps, videos, buttons, tools, embedded content or integrations. Such environments have their own terms, policies and practices. The presence of a link does not imply endorsement, partnership or responsibility on the part of Tectril. The user must evaluate the third party’s conditions before interacting or providing data.

12. Privacy, cookies and access logs

The processing of personal data related to the Site shall comply with the Tectril Privacy Policy, applicable law and, where relevant, specific notices. Cookies and similar technologies shall be handled in accordance with the cookie notice or policy and the choices made available to the user.

Tectril may retain technical and security logs necessary for operation, fraud prevention, incident investigation, the regular exercise of rights and compliance with legal obligations, in accordance with the principles of necessity, security and appropriate retention. 13. Security and availability

Tectril adopts reasonable security and continuity measures appropriate to the nature of the Site. However, no digital environment is completely secure or uninterrupted. The Site may become unavailable, undergo maintenance, experience failures or be changed for technical, operational, regulatory or security reasons.

The user must protect their devices, keep software up to date, verify senders and never send passwords through unsolicited channels. Suspected vulnerabilities or incidents should be responsibly reported to [email protected], without further exploitation, premature public disclosure or access to third-party data.

14. Limitation of liability

To the fullest extent permitted by law, Tectril shall not be liable for indirect damages, loss of profits, loss of opportunity, loss of data, business interruption or decisions made exclusively on the basis of general Site content, nor for third-party acts, external unavailability, device incompatibility or events beyond its reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded, including rights protected by mandatory rules. Where a consumer relationship exists, the mandatory provisions of the Brazilian Consumer Protection Code shall prevail.

15. Measures in the event of a violation

Tectril may, proportionately and in accordance with law, block access, remove content, preserve evidence, notify authorities, adopt security measures and seek remedies upon identifying a violation of these Terms, risk to the Site, fraud, abuse or a threat to third parties. Where applicable, due process, good faith and user rights shall be respected.

16. Changes to these Terms

Tectril may update these Terms to reflect legal, regulatory, technological, operational or service-related changes. The current version shall indicate the revision date and be published on the Site. Material changes may be highlighted through an appropriate notice. Continued use after the new version takes effect constitutes acknowledgment of the updated conditions, without prejudice to any specific consent or notice required by law.

17. Governing law, dispute resolution and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil, particularly, where applicable, the Brazilian Internet Civil Rights Framework, the Brazilian General Data Protection Law and the Brazilian Consumer Protection Code.

The parties shall seek an amicable resolution in good faith. Subject to any mandatory jurisdiction, including the courts of the consumer’s domicile where applicable, the courts of the Judicial District of Caieiras, State of São Paulo, Brazil, are elected to resolve disputes related to these Terms.

18. General provisions and contact

If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect, and the affected provision shall, where possible, be interpreted consistently with its purpose and the law. Tolerance of a violation does not constitute a waiver. These Terms do not create a partnership, agency, mandate, employment relationship or exclusivity.
